Interhosting Global Computing, LLC — Standard Service Agreement, May 2006

This pricing information is CONFIDENTIAL between Interhosting and your company, and may not be disclosed to third parties without prior written notification from Interhosting Global Computing.

Unlimited refers to normal use of shared resources allowing your service burst usage. If your service shows continuous unbalanced use over the other shared clients, you will be notified and offered a dedicated server.

Service is for domain hosting only, Interhosting provides a shared server and disk space and provides web-serving of the customer files.

Service is monthly and prepaid annually, if service is canceled a pro-rated refund of unused months will be issued.

Service will automatically be renewed for successive twelve month periods at the prices, terms and conditions prevailing at the time of renewal. Interhosting will mail notice of the renewal within thirty (30) days of the commencement of the renewal period.

There are no cancellation fees.

Service Cancellation request must be done in writing one month prior to the cancellation date.

Interhosting reserves the right to cancel the service anytime and for any reason, a written notification of service cancellation will be issued one month before the cut off date.

Customer owns and is solely responsible for the content posted on the server.

Delinquencies will have an extra charge of 15% annually over the price of the service, interest is accrued daily and you agree to pay any collection and attorney fees.

Domain Name is owned by you, Interhosting is only the technical contact.

Customer Responsible for Backups. Customer is responsible for maintaining a backup copy of customer’s files elsewhere to ensure recovery in the event of loss or damage to customer’s files.

Customers are explicitly prohibited from sending unsolicited bulk mail messages (“junk mail” or “spam”). This includes, but is not limited to, bulk-mailing of unsolicited commercial advertising, informational announcements, and political tracts. Such material may only be sent to those who have explicitly requested it.

Interhosting makes no warranties or representation of any kind, whether expressed or implied for the Service it is providing. Interhosting also disclaims any warranty of merchantability or fitness for particular purposes and will not be responsible for any damages that may be suffered by the Client, including loss of data resulting from delays, non-deliveries or service interruptions by any cause or errors or omissions of the Client. Use of any information obtained by way of Interhosting is at the Client’s own risk, and Interhosting specifically denies any responsibility for the accuracy or quality of information obtained through its services. Interhosting expressly limits its damages to the Client for any non-accessibility time or other down time to the pro rata monthly charge during the system unavailability. Interhosting specifically denies any responsibilities for any damages arising as a consequence of such unavailability.

Attorney Fees and Expenses: Client agrees that it shall defend, indemnify, save and hold Interhosting harmless from any and all demands, liabilities, losses, costs and claims, including reasonable attorney fees, asserted against Interhosting, its agents, its customers, servants, officers and employees, that may arise or result from any Service provided or performed or agreed to be performed or any product sold by Client, its agents, employees or assigns. Client agrees to defend, indemnify and hold harmless Interhosting against liabilities arising out of (i) any injury to person or property caused by any products sold or otherwise distributed in connection with Interhosting servers; (ii) any material supplied by Client infringing or allegedly infringing on the proprietary rights of a third party; (iii) copyright infringement and (iv) any defective product which Client sold on Interhosting servers.

By using the service, the customer agrees to all these conditions.
